CHAPTER I.
GENERALITIES
Item 1. – Constitution and denomination
The "SAMARITAIN"
Humanitarian foundation, which, as follows, will be named
"The Foundation" is established by the founder ROMAN HORIA – CRISTIAN, Romanian
citizen, resided in Bucharest 5, 36 Dumbrava Noua Street, Bl.P 25, Suite #
34, identified by Identity Card Series D.H. No.001927 released by I.M.B.
Service of Population Accounts, on September the 25-th, 1989..
Item 2. – Juridical Form
The
Foundation is a Romanian humanitarian, non – political, non – government and
non – profit person, which develops its activity by provisions of Low
no.21/1924 and in accordance with the present statute..
Item 3. – Registered Headquarters
3.1. The Foundation’s residence is in Bucharest 6, 35 Pacii
Boulevard, Bl.4, Suite # 380.
3.2. The residence may be changed to any
other place in the country or/and abroad, by the simple decision of the
President of the Foundation’s Board of Directors and complying with the legal
conditions of registration.
3.3. The Foundation may create agencies,
offices, branch offices and/or representations in Romania and abroad.
3.4. The Foundation can establish,
according to the legislation in force, relations of co-operation with similar
institutions from the country and abroad..
Item 4. – Length of time
The length
of time (term) of the Foundation is unlimited
CHAPTER II. THE PURPOSE AND THE OBJECTIVES
Item 5. – The purpose
The
Foundation’s purpose is
- a) to propagate the tolerance and human
solidarity principle, material and human betterment, intelectual
improvement;
- b) to improve and to spread the universal
Christian values;
- c) to found institutions and to establish
helping activities for all people in suffer and in need.
Item 6. – The objectives
6.1. The
"Samaritain" Humanitarian Foundation is a Christian foundation with
a beneficent, charitable, philanthropical character, without conffesional
barriers.
6.2. The Foundation has not a political
character, it is non – government, its field of activity is a social one.
6.3. It is a non – profit Foundation, it
doesn’t aim at material advantages as a result of its activities.
6.4. The motivations for this institution
setting-up have a social and a religious character.
6.5. The Foundation is going to collect,
to administrate and distribute money and assets (goods) to those who need
them.
6.6. The Foundation will have the
necessities of natural persons and social institutions on record, to satisfy
some needs in accordance with its means.
6.7. The Foundation will intercede at
natural and legal persons from our country and other countries, to solve some
of the above – mentioned necessities.
6.8 The Foundation will focus attention on
the next sorts of actions:
- a) to help churches with money and goods;
- b) to help natural poor persons (social cases:
orphans, poor people, the unemployed people, widows, old people,
families with many members etc.);
- c) to help people with handicaps;
- d) to sponsorize over downed children,
publishing houses or other natural and legal persons that have low
possibilities;
- e) to help and assist institutions that have
social character (special schools for people with handicaps,
dispensaries, polyclinics, health institutions, houses for orphans,
social canteens, cradles and abandoned children’s home, hospitals,
asylums for old people, kindergartens, nurseries).
6.9. The
Foundation is going to offer support for small and middle business, to take a
turn for better for each earnings and establishment of new (working) posts.
6.10. The Foundation will distribute
essential foodstuff, medicines, clothes and clothing articles to social
disadvantaged categories or calamited natural persons and social institutes.
6.11. The Foundation will organize
lectures, meetings, festivals and exhibitions. It will support the
translating/publishing/printing/distributing of books and educative materials,
in accordance with the legislation in force .All the obtained earings will
return to the Foundation for supporting its purposes.
6.12. The Foudation will found and will
finance:
- a) houses for orphans and for abandoned
children;
- b) churches;
- c) asylums for old people;
- d) social canteens;
- e) hospitals, dispensaries, polyclinics, health
and recovery institutions for persons that have bodily and (or) mental
deficiencies.
6.13. The
Foundation’s purposes are philantropic and unselfish
Item 7. – Possibilities
For
achieving the purpose and the objectives proposed, the Foundation:
- may accept donations in money or objects from
natural and legal persons;
- may buy or sell parcels of ground and buildings,
or may build buildings needful for the Foundation’s activities;
- may open and manage counts to one or more banks;
- will keep connections and will collaborate with
other similar organizations from all over the world.
Item 8 – Members
8.1. Members of the Foundation may be
persons over 21 years old, who wish to know and to respect the Foundation’s
moral and spiritual percepts and acts only for achieving Foundation’s
purpose, as they are mentioned in the present statute.
8.2. All those that fulfil the above –
mentioned conditions and adhere to the present statute may become members of
the Foundation by confirming of the President of the Foundation’s Board of
Directors.
8.3. No member of the Foundation might be
salaried employee even if the member holds a position. The expenses and
discounts that are necessary for the discharge of member’s mandate will be
repayed supporting documents presentation..
8.4. The Foundation’s structure is:
founding members, active members and honorary members.
8.5. The founding members are natural
persons settled in Romania, who signed the present statute, according to the
Annexe No. 1..
8.6. The active members are natural and
(or) legal persons that must satisfy the following conditions for their
admitance:
- a) they must adhere to the Foudation’s statute
and respect it;
- b) they must support the Foundation actively,
humanly, materialy and (or) finanacialy..
The number
of active members is unlimited.
8.7. The Foundation may admit natural and
(or) legal persons as honorary members, those who bring special financial or
material support and those who can bring contributions for the progress of
Foundations’s prestige, using their position and activity.
The number of honorary members is
unlimited.
8.8. Excepting the founding members, a
person can become active or honorary member by the approval of the President
of the Foundation’s Board of Directors. The person must file an application
to the President. The application can be or not approved; in case it is
refused, the decision’s motivation is not compulsory.
8.9. Any member may resign anytime from
the Foundation. The member must hand in directly and in writing a resigning
application or a registrered letter to the President of the Foundation’s
Board of Directors.
8.10. A member may lose his position being
excluded by the President of the Foundation’s Board of Directors because of
the following situations:
- a) loosing attribution that recommended him as
an active honorary member;
- b) defying the present statute;
- c) grievous mistakes that bring moral and
material damages.to the Foundation.
8.11. The
entering fee and the dues have not a fixed quantum and they are voluntarily
for all members (founding, active, honorary memebers), from 0 (for founding
members) to a certain percentage of profits (legal persons) or as far as
possible (natural persons)
8.12. None of the foundation’s members is
responsible for the Foundation commitments. The Foundation warranting with
its patrimony..
8.13. The Foundation is leaded by the
President of the Foundation’s Board of Directors.
8.14. The President of the Foundation’s
Board of Directors holds the following responsabilities (without
beeing limited):
- a) he decides the admitance of new members
(founding, active, honorary members);
- b) he decide the dismissing of members according
to the statute’s conditions;
- c) he modifies the statute, dissolves he
Foundation or decides the fusion with other institutions;
- d) he proposes performance criteria, selects,
gives diplomas and rewards to the legal or natural persons which distinguished
themselves particularly by supporting the purpose and the objectives of
the Foundation;
- e) he is allowed to delegate to one of the
Foundation’s members;
- f) he fulfils all declaring and publishing legal
formalities in the moment and after the Foundation’s establishing.
Item 9. – Dissolving
9.1. Is
uttered in an Extraordinary General Assembly, with founding, active and
honorary members, convened expecially for this purpose.
9.2. In case of dissolving, the
Extraordinary General Assembly designates one or more liquidators charged
with this action. By no means the members of the Foundation are not allowed
to ask for any part of Foundation’s goods. The net active will be assigned to
the Romanian Orthodox Patriarchy.
Item 10. – Administrative formalities
The
President of the Foundation’s Board of Directors must fulfil all
declaring and publishing legal formalities, in the moments and after the
Foundation’s establishng..
CHAPTER IV: THE PATRIMONY
Item 11. – The Foundation’s patrimony
11.1. The
Foundation’s patrimony is made of financial means and goods.
11.2. The President of the Foundation’s
Board of Directors, Mr. Eng. Horia – Cristian ROMAN – the Founder allocates a
founding patrimony of 1.000.000 lei..
11.3. The means (financial and goods) are
obtained by:
- the member’s contribution (founding, active,
honorary members);
- donations, sponsorizing, subventions of natural
and legal persons fom the country and abroad;
- self – endowment and self – equipment;
- accessorily, from the resulting amounts of the
legal economic activities, unfolded in connection with the Foundation’s
purpose.
11.4. The
Foundation is going to establish an infrastructure made by:
- residence with working and storing spaces;
- furniture;
- shifting and transportation means;
- means of comunications etc.
11.5. The
Foundation’s resurces are:
- payable entering fees (or unpayable - for
founding members) (payable once at entering in Foundation) and
periodical initiation fees given by members;
- sponsorizing, subventions and donations which
are not contrary to laws.
Item 12. – Final orders
12.1. The present statute can suffer changes, made only by
the President of the Foundation’s Board of Directors who must bring them to
the knowledge of judgement court.
12.2. The Foundation has heading, stamp,
sigle.
12.3. The present statute has a compulsory
character for all Foundation’s members.

on
the "SAMARITAIN" Foundation’s establishing
Conclued
today, January the 20-th 1997
ROMAN HORIA – CRISTIAN, Romanian citizen,
resided in Bucharest 5, 36 Dumbrava Noua Str., bl. P 25, suite # 34,
identified by Identity Card Series D.H. Nr. 001927 released by I.M.B. –
Service of Population Accounts on September the 25-th 1989, decided the establishment
of a foundation named "THE SAMARITAIN".
The initial patrimony of the Foundation is
1.000.000 lei..
The Foundation’s purpose is:
a) to improve and to spread the universal
Christian values;
b) to propagate the tolerance and human
solidarity principle, material and human betterment, intelectual improvement;
c) to found institutions and to establish
helping activities for all people in suffer and in need.
The functioning statute of the Foundation
was adopted.
The Foundation’s residence was settled in
Bucharest 6, 35 Pacii Blvd., bl.4, suite # 380.
It was also settled that the Foundation
will be leaded and managed (administrated) by a Managing Board formed by 5
members: president, vicepresident, jurist, secretary, cashier.
In the Managing Board were choosen:
- president – Mr. Eng. Horia-Cristian ROMAN
- vicepresident – Mrs. Dr. Mihaela-Ramona ROMAN
- jurist – Mr. Marius-Claudiu POLMOLEA
- secretary - Miss Roxana PETRESCU – BADEA
- cashier – Miss Mariana DUNA
The present report was made out in 5 (five) copies.
